ugh.  At what point are you getting the kernel panic?  In other words,
how much output appears in the boot process before the kernel panics?
That is what determines where things are going badly.

You might also want to try booting with noapic and/or acpi=off in the
off chance that you're hitting a kernel bug, and not some other
problem.
