Also on shutdown, I get these messages:

...
Shutting down interface eth0: e1000: eth0: e1000_reset: Hardware
error   [  OK  ]
Shutting down loopback
interface:                                        [  OK  ]
SIOCGIFFLAGS: No such device
...

Any problems booting into single user mode, init mode 1?  If not then you'll need to go through the services that are starting in /etc/rc.d/rc5.d to see which one(s) is causing the problems.
