kernel panic when trying to install FC4

Hello,

I have P 4 box running FC3 just perfectly fine. I am attempting to install FC4 on the box, however, booting from the CD fails with

"kernel panic not syncing attempting to kill init"

If I do an F4 'linux noprobe'  I get the same behavior

If I do a' linux mem=1024'
or linux mem=1024 noprobe'
or 'linux mem=1024 noprobe pci=nosort'
The system hangs with 'Uncompressing Linux...  Ok, booting the kernel'

The box consist of:
Intel 865 MoBo 2.8 GHz 800 MHz FSB 1MB L2 cache P 4
1 GB DDR400 PC3200 RAM
Hitachi SATA HD
MSI DVD/CDRW


Again, FC3 went on this same box without a hitch and has been running great.
Any ideas?
