Yes, something like this. I did so far not further investigate, but up
to FC2 the package with the tools for handling kernel modules was called
modutils. Now with new FC3 the package is module-init-tools. In my eyes
it is not correct that an "apt-get dist-upgrade" wants to remove
module-init-tools. Maybe something with apt-rpm is not correct. Though
it would be worth to look at the spec file of the module-init-tools RPM.

In short: if you are running FC3 you should have the module-init-tools
package installed. Without you would have serious problems. So don't let
it erase. How is the state of your system? Why do you want to run
"dist-upgrade" if you run already FC3? Is that an upgrade system? Do you
have an older modutils RPM installed too?
