I don't think you need 'apm=power_off'

I don't know exactly why, but now it works.
=> new kernel, edit the /etc/grub.conf

title Fedora Core (2.4.22-1.2174.nptl)
        root (hd0,0)
        kernel /vmlinuz-2.4.22-1.2174.nptl hde=noprobe hdf=noprobe
hdg=noprobe hdh=noprobe ro root=LABEL=/ hdc=ide-scsi rhgb acpi=on
apm=power_off
        initrd /initrd-2.4.22-1.2174.nptl.img

now it works.
