sorry for answering with question - but why do you need 5328?
this discussion thread will help you further:
http://www.nvnews.net/vbulletin/showthread.php?s=&threadid=22574

anyway - i suggest, that you use public beta (4620) instead of 5328

I am having a problem getting the New NVIDIA 5328 drivers to work with
Kernel 2.4.22-1.2135.nptl. When I type ÃâÅstartxÃâ my screen just goes
blank. I have a GeForce 2 card. Everything worked fine with the 4496
drivers using the following procedure:

1. Go to http://www.nvidia.com/object/linux_display_ia32_1.0-5328.html

2. Download NVIDIA-Linux-x86-1.0-5328-pkg2.run

3. Boot system in text mode (edit /etc/inittab and set run level to 3)

3. type "export CC=gcc32"

4. type "sh NVIDIA-Linux-x86-1.0-5328-pkg2.run"

5. Edit the /etc/X11/XF86Config file as described in the readme file

6. Boot the system in Gui mode (edit /etc/inittab and set run level to
5)

Doing a CTRL-ALT-Backspace to restore the console does not work. I
have to do a CTRL-ATL-Del and reboot. Does anyone have any
suggestions?

ok when you were doing the install of the drivers... did it say there is
already an instance of the drivers installed? it should and thenit
should remove them for u..

can you post the xfree86 log and see what went wrong?
also dont reboot if ctrl alt f2 or ctrl alt bkspc dont work last you can
do ctrl alt sysrq (same sa printscreen key) and k.. it will kill x and
bring you to log in screen.. i had to use that alot when my americas
army game would freeze on me.. you could also have security problems with the dri crap.. lemme know/
